InaInvoices is a product of FLEXINA.
FLEXINA website’s visitors acknowledge they have sufficient know-how to access and use this website.
FLEXINA website’s visitors acknowledge they have checked the website configuration and it is free from any virus and ready for use.
Visitors also agree they have read and agree to the present website terms and conditions.

1. Website Object

FLEXINA provides Information Technology services and focuses on architecture, design and development of e-business applications & services based on Java J2EE platforms and Adobe Flex.

FLEXINA website outlines FLEXINA products but focuses mainly on its e-business center which enables visitors and customers to be granted non exclusive and non transferable licence of certain FLEXINA softwares and applications (hereinafter "services")
The mere visit of inainvoices.com and flexina.be is free and does not require any log in.

2. Applicability

These terms and conditions apply to all visitors.
Should any of these terms solely apply to consumers or businesses, explicit mention of it shall be made. In B2B configuration, these terms and conditions prevail on any other general conditions.
Should a customer opt for the online acquisition of a licence to use FLEXINA software, the ASP contract FLEXINA also apply but shall not prevail as to issues not addressed by the present terms.
Any modification to the present terms must be in writing.

3. Availability

FLEXINA use appropriate steps to ensure the online availability of FLEXINA services and information. FLEXINA cannot however be held responsible for the any online interruption which would cause such unavailability.

4. Usage Licence – Contract

All orders of services are deemed to be an offer by the customer to acquire such services.
FLEXINA is considered to have accepted such offer under the present conditions when it sends the order confirmation email.
When completing the online order of services, the customer is supposed to expressly agree on the present terms and conditions and on the ASP contract mentioned under section 2.
The parties are not deemed to be bound until such online agreement and the order confirmation email are completed.

5. Offer Rejection

FLEXINA has any right to reject any order for motives that FLEXINA considers for reasonable.

6. Service Term – Right of Withdrawal

Unless otherwise provided in writing the software usage licence is valid for one year.
30 days before the expiry date, FLEXINA emails the customer and require his view on the renewal.
Without any reaction of the customer, renewal is deemed accepted. The customer also accepts that the yearly fee will be debited by FLEXINA from his credit card account.
Belgian laws and European Directives on distant selling mandate the consumer right to cancel the order for free and without any explicit motive provided it is notified within 7 (seven) days from the order confirmation email sent by FLEXINA.
In such case, refund shall be done in full and without delay.
Such right of withdrawal does not apply in B2B configuration.

7. Rates and Payment

Services prices and rates are mentioned in the offer and the order confirmation by FLEXINA.
The rates mentioned do not include VAT in B2B configuration. Certain taxes and/or expenses related to the acquisition of the services may be added.
In the online process, FLEXINA makes sure to accurately indicate all elements constituting the price.
Unless otherwise provided in writing, no services shall be performed before full payment.
FLEXINA suggests several payment means: encrypted online transaction (SSL) or bank transfer.
Business customers receive a paper invoice by mail whenever they require it by emailing FLEXINA at info@flexina.eu. Should no such requirement be made, invoice shall be sent under email format.
Whenever customers notice any error in the order confirmation email, they shall immediately notify FLEXINA.

8. Site – Liability Limitation

FLEXINA undertakes to take appropriate steps to ensure the access of its website but it cannot be held liable for any mistake, lack of information, or viruses on its website.
FLEXINA does not accept any liability, express, implied, or explicit (including but not limited to implicit warranties of property, absence of infringement, warranty of merchantability, fitness for a particular purpose) relating to the availability, the accuracy, the reliability, the updating, or the content of the website pages. FLEXINA cannot be held liable for any damage, included but not limited to direct or indirect, consequential or incidental damages, loss of profits, loss of business, resulting from the use of the website or from its unavailability, even if the visitor has been advised of the possibility of such damages, to the extent that such limitation is not prohibited by law. In such case, the limitation of liability is limited to the maximum extent permitted by applicable law.

9. Services – Limitation of Liability

FLEXINA shall not be held liable to customers for any damage, direct or indirect, resulting from the use of its services, even when the customer has been advised of the possibility of such damages. Are excluded from any liability, all damages relating to any implied warranty of merchantability or fitness, loss of data, loss of profits, or to any costs and expenses incurred from the use of services, including any costs related to files reconstruction, etc.
In no event shall FLEXINA liability to buyer exceed the fees paid to acquire the software usage licence.

10. Services – Term of Delivery

FLEXINA takes all reasonable steps to timely deliver the services.
When no delivery term is set, a 15-day period is applicable. FLEXINA cannot be held responsible for direct or indirect damages resulting from the impossibility to timely deliver the services.

11. Intellectual Property Rights

FLEXINA owns all intellectual property rights relating to the services as well as to the content, look and feel, domain name and configuration of the website.
As to services, FLEXINA reminds the customers (software usage licence), the terms and conditions specified in the convention ASP relating to the protection of the intellectual property rights are fully applicable.

12. Data Protection

FLEXINA collects, uses, and disseminates personal data relating to FLEXINA customers and/or employees in strict conformance with the applicable laws on Data Protection (Belgium) and with the Privacy Policy de FLEXINA.

13. Confidentiality

Either party, including its employees and/or subcontractors, shall use and disseminate all data and information received from the other party with the utmost confidentiality, abiding in any case with all contractual obligations.
Unless required by law FLEXINA shall not communicate under any circumstances such information and data to any third parties.

14. Consumers Rights

The present terms and conditions are regularly updated and they conform to Belgian laws.
Should one of these clauses conflict with the provisions of the Belgian Law on Consumers Protection, the latter shall prevail.

15. Modifications

The FLEXINA website terms and conditions – hereto version 01 – can be modified by FLEXINA and shall be applicable as soon as they are posted on the website. Visitors shall frequently check up on new versions.

16. Applicable Law & Jurisdiction

These terms and conditions and any contractual tie between FLEXINA and visitors are governed by Belgian Laws and all related disputes shall be submitted to the competent courts of the judicial district of LIEGE (BELGIUM).
